Job Overview
As an M&A Advisor, you will oversee the entire acquisition process for our clients, acting as a strategic advisor and facilitator. From deal sourcing to closing, you will collaborate with key stakeholders including the Financial Analyst, lawyers, CPAs, lenders, and investors to ensure a smooth and successful transaction. This role demands a proactive and detail-oriented professional who can manage the complexities of M&A transactions while delivering exceptional client experiences.
Key Responsibilities
- Client Advisory: Serve as the main advisor for clients, offering strategic guidance throughout the acquisition process. Attend calls with sellers to represent clients and build trust.
- Valuation: Perform business valuations, analyzing financial statements, market trends, and industry data. Refine insights with input from the Financial Analyst.
- Deal Structuring: Propose tailored acquisition strategies, including deal structures such as earn-outs, seller financing, or SBA loans.
- Negotiation: Lead discussions with sellers and brokers to secure favorable terms for clients. Address roadblocks to move deals forward.
- Due Diligence: Coordinate with lawyers and CPAs to review financial, operational, and legal aspects. Provide input on risks and opportunities for clients.
- Financing Support: Work with lenders and investors to secure funding, prepare pitch decks, and assist in presenting the business case.
- Data Room Management: Organize transaction documents, ensuring all required materials are accessible and accurate. Collaborate with the Financial Analyst for document preparation.
- Closing Support: Oversee final preparations for deal closings, ensuring smooth execution and addressing any last-minute concerns.
Qualifications
- Bachelor’s degree in Business, Finance, or a related field (MBA preferred).
- 2+ years of experience in M&A, business brokerage, or financial advisory.
- Expertise in valuations, deal structuring, and transaction management.
- Strong communication and interpersonal skills, with experience in seller and stakeholder negotiations.
- Ability to manage multiple deals in a fast-paced environment.
- Familiarity with SBA financing and asset sale transactions is a plus.
